1. Definitions
In these terms:
- "Kindleo," "we," "us," "our" refers to Kindleo, the studio operating from 91 Witthayu Road, Khwaeng Lumphini, Khet Pathum Wan, Bangkok 10330, Thailand.
- "Client" means the organisation engaging our services, and the individuals acting on its behalf.
- "Services" means the Two-Day Innovation Sprint, the Capability-Building Series, the Concept Critique Session, and any tailored variation of these described in a written proposal.
- "Engagement" means the agreed scope of work between Kindleo and a Client, as set out in a proposal accepted by both sides.
- "Working materials" means notes, sketches, written briefs, and the facilitator handbook that we produce in the course of an engagement.
- "Site" means the website operated at the domain kindleo.live.
2. Acceptance of these terms
By using the Site, sending an enquiry through it, or signing a proposal that references this document, the visitor or Client agrees to these terms. Anyone signing on behalf of an organisation confirms they have authority to do so.
Visitors must be at least 18 years of age. The Site is intended for working adults inside organisations and is not directed at children.
3. Description of the services
Kindleo offers three core services. Each is a facilitation engagement; we do not deliver implementation, we do not commit to the commercial outcome of any concept developed during a workshop, and we do not act as a technology vendor.
3.1 Two-Day Innovation Sprint
A facilitated two-day workshop for cross-functional groups of six to twelve, covering the framing of an opportunity, generation of candidate concepts, narrowing on the strongest two, and the drafting of first-cut concepts on paper. The output is a written brief, a record of the discussion, and a short list of next steps the Client team owns. Standard fee: ฿11,400.
3.2 Capability-Building Series
Six half-day sessions delivered across two months, building the in-house capability of a team to run lighter innovation cycles by themselves. Includes a written facilitator handbook the team keeps after the engagement closes. Standard fee: ฿24,800.
3.3 Concept Critique Session
A focused half-day reading by a senior advisor of a small set of in-progress concepts, returned as a written reading of strengths, weak points, and reasonable next questions. Standard fee: ฿3,800.
4. Engagement and proposals
An engagement begins with a short conversation in which the Client describes the work and the studio describes how a sprint, series, or critique might fit. We then prepare a written proposal that sets out scope, dates, the working group, the deliverables, and the fee. The engagement is formed when the Client returns the proposal countersigned. Verbal agreements are not binding until put in writing in this manner.
5. Client responsibilities
- Naming a single point of contact who can answer questions during the engagement and approve any in-flight scope adjustment.
- Releasing the named participants for the agreed sessions; substitutions are accepted but are best notified at least three working days ahead.
- Providing context materials we have asked for in advance — typically a one-page brief, any relevant prior research, and a short note on the operational constraints we should hold in mind.
- Treating the studio's facilitation team, and other workshop participants, with reasonable courtesy at all times.
- Refraining from recording sessions without prior written consent. Photographs of the working wall are usually fine; full audio or video capture must be agreed.
6. Intellectual property
6.1 The studio's underlying methods
Our facilitation methods, frame templates, the handbook structure, and the studio's written materials remain the intellectual property of Kindleo. We grant the Client a non-exclusive, perpetual licence to use these materials inside their own organisation for the purposes of running internal innovation work; the licence does not extend to reselling, sub-licensing, or publishing the materials.
6.2 Concepts produced during the engagement
The concepts generated by a Client team during a sprint or series belong to the Client. The studio claims no ownership over them. Where a member of the studio contributes to the development of a concept by sketching alongside the team, the contribution is treated as work-for-hire and any rights pass to the Client.
6.3 Site content
All text, images, and SVG illustration on this Site are the property of Kindleo unless otherwise credited. They are made available for personal reading; copying, redistribution, or republication in another commercial context requires written permission.
7. Fees, invoicing & refunds
Fees are stated in Thai Baht (฿) and are exclusive of VAT, which is charged at the prevailing rate. The standard payment terms are fifty per cent on signing the proposal and fifty per cent on the day the engagement closes. For longer engagements (e.g., the Capability-Building Series) we may invoice in monthly portions; this will be set out in the proposal.
7.1 Cancellation by the Client
If the Client cancels more than fourteen calendar days before the first scheduled session, the deposit is refunded in full less a small administrative deduction. Cancellation between fourteen and seven days before the first session results in a 50% retention of the deposit. Cancellation inside seven days, or non-attendance on the day, results in full retention of the deposit.
7.2 Rescheduling
One rescheduling at the Client's request is offered without charge if notified more than seven days in advance. Subsequent rescheduling, or rescheduling inside the seven-day window, may incur an administrative fee.
7.3 Cancellation by the studio
If the studio is unable to deliver an agreed engagement for reasons inside our control, we will offer a rescheduled date or a full refund of any monies received, at the Client's election.
8. Confidentiality
Both parties undertake to keep confidential the non-public information shared during the engagement, including the working concepts, internal documents, and any commercial context disclosed during sessions. The obligation continues after the engagement closes. Where a more formal non-disclosure agreement is preferred, the studio is glad to sign the Client's standard form.
9. Disclaimers
The services are provided on a best-effort, professional facilitation basis. We do not promise that any concept developed in a workshop will succeed in market, that any capability-building cohort will produce a particular standard of work after the engagement, or that any reading offered in a critique will reflect the only reasonable view available. Innovation is a probabilistic activity and the studio's role is to make the team's thinking sharper, not to guarantee an outcome.
The Site is provided "as is." We make no warranty that it will be free from interruption or error.
10. Limitation of liability
To the maximum extent permitted by law, the aggregate liability of Kindleo for any claim arising from an engagement is limited to the fees actually paid by the Client for the engagement giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages, including lost profit, lost opportunity, or business interruption. Nothing in this clause limits liability that cannot be excluded by Thai law, including liability for fraud or for personal injury caused by negligence.
Neither party is liable for delay or non-performance caused by events outside reasonable control, including acts of nature, public health measures, civil disturbance, or interruption of essential utilities.
11. Indemnification
The Client agrees to indemnify Kindleo and its team against any third-party claim that arises from the Client's misuse of the working materials, breach of these terms, or the introduction into a workshop of material the Client did not have the right to share.
12. Termination
Either party may terminate an engagement on written notice if the other party commits a material breach of these terms and fails to remedy that breach within fourteen days of being asked to do so. On termination, the Client pays for work performed up to the date of termination, the studio returns any working materials in its possession that belong to the Client, and clauses that by their nature should survive (intellectual property, confidentiality, limitation of liability, dispute resolution) survive.
13. Dispute resolution
These terms are governed by the laws of Thailand. Both parties agree to first try to resolve any dispute through a written exchange between named representatives, allowing thirty days for that exchange to settle the matter. If the dispute is not resolved that way, both parties submit to the exclusive jurisdiction of the courts of Bangkok. Where a smaller commercial dispute is appropriate for mediation, both parties may agree in writing to use the Thailand Arbitration Center for that purpose.
14. General provisions
- Entire agreement. The signed proposal together with these terms forms the whole agreement between the parties.
- Severability. If a court finds any clause unenforceable, the remainder of these terms continues in force.
- Waiver. A failure to insist on strict performance of any clause is not a waiver of that clause.
- Assignment. Neither party may assign the agreement without the other's prior written consent, save that the studio may assign to a successor entity in the ordinary course of restructuring.
- Notices. Notices under these terms are validly given by email to the address set out in the proposal, with a confirmation copy by post if either side requests it.
- Language. The English version of these terms is the operative version.
15. Changes to these terms
We may update these terms from time to time. Material changes will be posted on this page with a revised "last updated" date, and where a change affects an engagement already in progress we will write to the Client to flag it. Continued use of the Site, or continued participation in an engagement, after a change has been posted constitutes acceptance of the revised version.
